Terms and Conditions
Terms for buying and using NOISE & GRIT sound products and software.
No purchases are possible on noiseandgrit.com yet. These terms will apply once sales open and will be finalised before checkout is activated. The version shown at the time of your purchase applies to that purchase.

1. Scope
These terms apply to all contracts for digital products offered on noiseandgrit.com by Pascal Friedrich, NOISE & GRIT, Flurweg 8a, 8055 Seiersberg, Austria ("NOISE & GRIT", "we"). Products are offered to consumers and businesses. Where these terms distinguish, "consumer" has the meaning given in the Austrian Consumer Protection Act (KSchG).
2. Products
NOISE & GRIT sells digital products only:
- Sound products: sample packs, drum kits, MPC expansions and similar audio content, delivered as downloads.
- Software: plugins and producer tools such as PatternBridge, delivered as a download with a licence key.
The essential features of each product, including file formats, compatibility and system requirements, are described on its product page. Please check them before buying.
3. Checkout providers and contract partner
Sound products are sold by NOISE & GRIT. Payment and download delivery are handled by an external checkout provider.
Software is sold through an external reseller acting as merchant of record. The contract of sale for software is concluded with this reseller under its own terms of sale. Its name and terms are shown in the checkout before you complete the order. The right to use the software is granted by NOISE & GRIT under section 8 of these terms.
A contract is concluded when you complete the order in the respective checkout and receive the order confirmation by e-mail.
4. Prices and payment
Prices are shown in euros. The final price, including any applicable value added tax, is calculated and displayed in the checkout before you complete the order. Available payment methods are shown in the checkout.
5. Delivery
Products are delivered electronically. After payment you receive an e-mail with a download link and, for software, a licence key. Download links may be limited in the number of uses or in time; please save your files after downloading.
6. Right of withdrawal for consumers
Consumers in the European Union generally have a right to withdraw from distance contracts within 14 days. Where this statutory right applies to digital content, purchase or download alone does not remove it. Early loss requires that performance has begun with your prior express consent, that you acknowledged the resulting loss of the right of withdrawal, and that you received the contract confirmation required by law (§ 18(1)(11) FAGG; Art. 16(m) of Directive 2011/83/EU). The actual contract and the completed checkout process are decisive. Details are in the Refund Policy. A model withdrawal form is available.
7. Licence for sound products
With full payment you receive a non-exclusive, non-transferable, worldwide and perpetual licence to use the sounds in your own musical works and productions, including commercial releases, performances, broadcasts and sync, without further royalties.
You may not:
- sell, share, give away or upload the sounds in their original or a substantially similar form, individually or as part of another sample pack, kit, expansion, library or template;
- use the sounds to build products that compete with sound products, such as other sample packs or sound libraries;
- use the sounds as training data for machine-learning or AI models;
- transfer the licence to anyone else.
A product page may state additional or different terms for a specific product; these take precedence for that product.
8. Licence for software
Software is licensed by NOISE & GRIT. With full payment you receive a non-exclusive, perpetual licence to use the purchased version of the software for personal and commercial purposes. The number of computers on which a licence may be activated, licence checks, offline use and included updates are stated on the product page at the time of purchase. Where a product has its own software licence terms, they are made available before purchase and govern the use of that product; this section does not create a second, competing licence.
You may not distribute the software or licence key without authorisation, share the licence key publicly or provide it to unrelated third parties for their use, or circumvent licence checks, except where mandatory law or the licences of included third-party components permit this. Statutory rights, including rights to examination, interoperability and error correction and rights concerning a lawful transfer of software, remain unaffected. Included third-party components are governed by their own licences, and nothing in these terms restricts the rights those licences grant.
The scope of included updates is stated on the product page at the time of purchase. This does not promise future features, a release schedule or free future major versions. Statutory rights to necessary updates remain unaffected.
NOISE & GRIT claims no rights in your input or output files merely because they are processed by the software. The software licence grants no rights in third-party samples, musical works, MIDI or pattern files; you need the rights required for your use of such content.
9. Warranty
Statutory warranty rights apply, including the rights under the Austrian Consumer Warranty Act (VGG) for digital content and digital services. If a product does not work as described, contact support@noiseandgrit.com.
10. Liability
We are liable without limitation for damage caused intentionally or through gross negligence and for personal injury. For slight negligence we are liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. Liability for slight negligence towards consumers is excluded only to the extent permitted by § 6 KSchG. There is no separate exclusion of liability for loss of data.
As a precaution, we recommend keeping regular backups of your projects and original files. This recommendation does not limit your statutory rights.
11. Applicable law and jurisdiction
Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law does not remove the protection of mandatory provisions of the law of the country in which they have their habitual residence. For consumers resident in Austria, jurisdiction is determined by § 14 KSchG.
12. Final provisions
If any provision of these terms is invalid, the remaining provisions remain in effect. Contract language is English.
